These Terms and Conditions of Service ("TCS") govern your access to and use of the Bangladesh Legal Decisions ("BLD") digital platform, including all content, services, and applications available through the BLD Legalized website (collectively, the "Service"). The Service is owned and operated by or on behalf of the Bangladesh Bar Council ("Bar Council," "we," "us," or "our").

By accessing or using the Service, you signify that you have read, understood, and agree to be bound by these TCS, as well as our Privacy Policy and all other operating rules, policies, and procedures that may be published from time to time on the Service. If you do not agree to these TCS, you must not use the Service.

1. DEFINITIONS

  • "Content" refers to all information available on the Service, including but not limited to case laws, statutes, legal reports, circulars, articles, data, and metadata.
  • "User" refers to any individual or entity accessing or using the Service.
  • "Subscription" refers to the paid access granted to the Content and features of the Service for a specified period.

2. GRANT OF LICENSE

2.1. Limited, Non-Exclusive License: Subject to these TCS and your payment of the applicable Subscription fees, the Bar Council grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service and the Content solely for your internal research, professional, or educational purposes in Bangladesh.

2.2. Prohibited Uses: You agree not to: Reproduce, distribute, transmit, sell, or exploit any portion of the Content outside of the permitted use for court documents, internal memoranda, or academic papers. Create a derivative product of the Content or use the Content to develop a competing legal database. Systematically download, store, or create a database of the Content in bulk, whether through manual means or automated data extraction (scraping). Share your unique login credentials with any other individual or entity.

3. SUBSCRIPTION, FEES, AND PAYMENT

3.1. Subscription Term: Access to the full Content requires a valid, paid Subscription for a defined term (e.g., monthly, annually). 

3.2. Payment: All fees are payable in advance and are non-refundable, except as expressly provided in our Refund and Cancellation Policy. 

3.3. Changes to Fees: The Bar Council reserves the right to change its Subscription fees at any time. Any fee changes will be communicated in advance and will take effect at the start of your next renewal period.

4. INTELLECTUAL PROPERTY AND OWNERSHIP

4.1. Ownership of Content: All Content provided through the Service, including the law reports (BLD), and all intellectual property rights related thereto, are and shall remain the exclusive property of the Bangladesh Bar Council. 

4.2. No Transfer: These TCS do not transfer any right, title, or interest in any intellectual property to you. You acknowledge that you obtain no ownership rights to the Content by using the Service.

5. DISCLAIMER OF WARRANTY

The Service and all Content are provided on an "AS IS" and "AS AVAILABLE" basis. While the Bar Council takes utmost care to ensure the accuracy and authenticity of the Content, we make no warranties, express or implied, regarding the currency, completeness, or suitability of the Content for any specific legal situation. Legal content is for informational and research purposes only and does not constitute legal advice.

6. LIMITATION OF LIABILITY

To the maximum extent permitted by law, the Bar Council and its affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from the use or the inability to use the Service or the Content.

7. GOVERNING LAW AND JURISDICTION

These TCS shall be governed by and construed in accordance with the laws of Bangladesh. All disputes arising out of or relating to these TCS or the Service shall be submitted to the exclusive jurisdiction of the courts located in Dhaka, Bangladesh.
